1. Purpose
This Acceptable Use Policy (the "Policy") sets out, clearly and unambiguously, the activities that are permitted and the activities that are prohibited when you access or use the website, platform and services operated by Karya (Company No. 1234567-X), trading as Karya ("we", "us", "our", or the "Merchant"), available at https://karya.rizen.space/ (the "Service").
The Service involves the sale and electronic delivery of digital goods — including, without limitation, vouchers, e-codes, gift cards, software licences and top-up codes (collectively, "Digital Goods"). Because Digital Goods are delivered electronically and instantly, and are consumed once delivered or revealed, the integrity of the order, payment and security controls that protect the Service is important to all parties to a transaction.
Role of the Payment Processor
Payments for the Service are processed by Bayarcash Sdn. Bhd. (Company No. 202201040365) of Kota Bharu, Kelantan, Malaysia, a payment gateway regulated under Malaysian law (the "Payment Processor"). The Payment Processor acts solely as an independent third-party provider of payment-processing services. It is not the seller, supplier or merchant of record, not a party to the contract of sale between you and the Merchant, and it does not own, control or operate the Service.
Karya, and not the Payment Processor, is the seller of record and your sole counterparty in respect of any purchase and the supply of Digital Goods. The Payment Processor's only role is to process payment instructions on the Merchant's behalf. All questions concerning your order, delivery, refunds and disputes must be directed to the Merchant in the first instance.
2. Scope
This Policy applies to:
- All customers, users, visitors and account holders, and any other person who accesses or uses the Service (each, a "Customer", "you" or "your");
- Every order, payment, redemption, account registration and platform interaction conducted through or in connection with the Service; and
- Any use of the Service regardless of the device, network or location from which it is accessed.
This Policy is incorporated into, and forms part of, the Merchant's Terms and Conditions and other published policies (including the Merchant's Privacy Policy and Refund Policy). By accessing or using the Service, or by submitting any payment through the Payment Processor, you accept and agree to be bound by this Policy. If you do not agree, you must not use the Service. This Policy operates in addition to, and not in substitution for, any obligation imposed on you by applicable law.
3. Definitions
In this Policy, unless the context requires otherwise:
- AMLA — The Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (Act 613).
- Chargeback — Any reversal, dispute, claim or recall of a payment initiated through a bank, card scheme, e-wallet or other payment channel.
- Digital Goods — The vouchers, e-codes, gift cards, software licences, top-up codes and similar digital items sold and delivered electronically through the Service.
- KYC — Know-your-customer identity-verification and customer-due-diligence procedures.
4. Eligibility, Age and Capacity
By accessing or using the Service or submitting any payment, you represent and warrant that:
- You are at least 18 years of age, or, if you are below 18, that you have the verifiable prior consent and supervision of a parent or legal guardian who agrees to be bound by this Policy and to be responsible for your use of the Service and for all charges you incur;
- You have the legal capacity to enter into a binding contract under section 11 of the Contracts Act 1950; and
- All information you provide about your age, identity and eligibility is true, accurate and complete.
The Merchant reserves the right to request proof of age or identity, and to refuse, suspend or cancel any order where eligibility cannot be satisfactorily established. The Merchant and the Payment Processor accept no liability for any transaction made by, or on behalf of, a person lacking the capacity or eligibility required by this Section.
5. Acceptable Use
You may use the Service only for lawful purposes and only in accordance with this Policy. In particular, you must:
- Use the Service solely to purchase Digital Goods for your own lawful, personal or authorised use;
- Provide accurate, current and complete information when registering an account, placing an order or making a payment, and keep that information up to date;
- Use only a payment instrument (card, bank account, e-wallet or other payment method) that belongs to you, or that you are expressly and lawfully authorised to use;
- Comply with all applicable laws and regulations, including the laws of Malaysia and the laws of your own country of residence, and with the terms of any licence applicable to any Digital Good you purchase;
- Contact the Merchant and exhaust the Merchant's dispute-resolution process (Section 9) before initiating any Chargeback or payment dispute; and
- Cooperate promptly and in good faith with the Merchant and, where applicable, the Payment Processor in connection with any identity verification, security check or investigation.
Use of the Service that is not expressly permitted by this Policy may be prohibited, and the Merchant reserves the right to refuse, suspend or cancel any order or transaction that the Merchant or the Payment Processor reasonably believes is inconsistent with this Policy.
6. Prohibited Activities
You must not use the Service, and must not permit any other person to use the Service through your account or payment instrument, for any of the following purposes. The following list is illustrative and not exhaustive:
| Fraudulent or Illegal Activities | Money laundering, terrorism financing or any illegal financial transaction; using stolen, compromised or unauthorised payment methods; any conduct that is unlawful under the laws of Malaysia or any applicable jurisdiction. |
| Payment-Instrument Misuse | Using a card, bank account, e-wallet or other payment instrument that is not your own or that you are not authorised to use; card-testing or any other unauthorised payment scheme. |
| Chargeback and Refund Abuse | Initiating a dishonest, abusive or bad-faith Chargeback or dispute; raising a Chargeback for Digital Goods that were delivered, revealed or redeemed; or bypassing the Merchant's dispute process required by Section 9. |
| Unauthorised Access or Tampering | Attempting to bypass, disable or circumvent any security control; accessing another person's account without authorisation; or distributing malware, viruses or other harmful code. |
| Misuse of the Service | Conducting any activity that disrupts, degrades, overloads or impairs the Service; or using the Service for spamming, phishing, scams or deception; or using bots, scripts or automation to interact with the Service. |
| Violation of Intellectual Property or Privacy | Sharing, uploading or transmitting content that infringes copyright, trademark or other intellectual-property rights, or that violates the privacy rights of any person; or breaching the licence terms applicable to any software licence purchased. |
| Circumventing Restrictions | Attempting to bypass transaction limits, geographic restrictions, age restrictions or any other compliance or eligibility control imposed by the Merchant or the Payment Processor. |
Under section 24 of the Contracts Act 1950, any agreement whose object or consideration is unlawful is void. The Merchant treats any transaction connected with a prohibited activity as void and unenforceable, and reserves the right to refuse, cancel or reverse it accordingly without refund.
7. Non-Refundable Digital Goods
You acknowledge and agree that Digital Goods are delivered electronically and are consumed once delivered, revealed or redeemed. Accordingly, all sales of Digital Goods are final and non-refundable once the voucher, e-code, licence or top-up code has been delivered or revealed to you.
Refunds will be considered only in the limited, verified circumstances of:
- Non-delivery — where you paid for a Digital Good that was never delivered or revealed and the failure is attributable to the Merchant;
- Duplicate charge — where you were charged more than once for the same single order; or
- A proven processing error by the Payment Processor.
Any eligible refund request must be made to the Merchant within thirty (30) days of the transaction and is subject to verification. The full refund terms are set out in the Merchant's Refund Policy.
Nothing in this Section limits any right that you have, and that cannot lawfully be excluded or restricted, under the Consumer Protection Act 1999 or other applicable Malaysian law; to the extent any such right applies, it prevails over the limitations in this Section but only to the minimum extent required by law.
8. Compliance, Monitoring and Holds
You must not use the Service, directly or indirectly, to launder money, to finance terrorism, or to deal with any property that is, or that represents, the proceeds of an unlawful activity. The Merchant and the Payment Processor are subject to, and committed to compliance with, AMLA and the anti-money-laundering and counter-financing-of-terrorism requirements issued by Bank Negara Malaysia.
The Merchant and the Payment Processor may monitor transactions and platform activity to detect fraud and to comply with applicable law. In doing so, they reserve the right, at any time and in their sole discretion, to:
- Apply fraud and AML screening to any Customer, order or transaction;
- Request identity verification or other KYC documentation, and to suspend or cancel an order pending receipt of satisfactory verification; and
- Place a hold on, delay, decline, cancel or refuse any transaction that they reasonably consider suspicious, high-risk or potentially in breach of this Policy or applicable law.
Where required by law, the Merchant and the Payment Processor may decline to provide a reason for declining, holding or cancelling a transaction. You acknowledge that section 14A of AMLA prohibits the disclosure ("tipping-off") of information relating to a suspicious-transaction report, and that any such withholding of reasons is lawful and does not constitute a breach of any obligation owed to you.
9. Dispute Resolution: Merchant First
You must contact the Merchant first, using the details in Section 12, and exhaust the Merchant's dispute-resolution process before initiating any Chargeback or payment dispute. The Merchant will acknowledge and investigate genuine concerns in good faith. Because the Payment Processor is not the seller of the Digital Goods and is not a party to the contract of sale, all questions concerning your order, delivery, refunds and disputes must be directed to the Merchant in the first instance; the Payment Processor is not responsible for resolving disputes arising from the Digital Goods.
10. Enforcement
Where the Merchant or the Payment Processor determines, on reasonable grounds, that you have breached this Policy or applicable law, enforcement action will be taken on a basis proportionate to the severity of the violation, and may include:
- Warning, restriction or temporary suspension of your account or access to the Service, and the holding or cancellation of affected transactions;
- Permanent termination of your account and a permanent ban from the Service, together with recovery of any funds, Chargebacks, fees and reasonable costs arising from the breach; and
- Referral and reporting to the relevant authorities where required by law, and the provision of records and cooperation in any resulting investigation.
These remedies are cumulative and in addition to any other right or remedy available at law or under any other policy or agreement. Suspension, termination or recovery under this Section does not entitle you to any refund of amounts already paid for Digital Goods that were delivered, revealed or redeemed.
11. Governing Law, Severability and General
This Policy is governed by, and shall be construed in accordance with, the laws of Malaysia. You irrevocably submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute, claim or matter arising out of or in connection with this Policy or your use of the Service.
If any provision of this Policy is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. This Policy, together with the Merchant's Terms and Conditions and other published policies, constitutes the entire agreement between you and the Merchant in relation to its subject matter and supersedes any prior understanding.
The Merchant may amend this Policy at any time by publishing the updated version, with notice given through the Service or by other reasonable means; your continued use of the Service after the effective date of any amendment constitutes acceptance of the amended Policy.
